BoE/Board of Elders

  • The planning and decision making body for the 501c3, the Holding Company and the Shared Services
  • Godly leaders who are in alignment with the Biblical Model of an elder
  • Men and women who have long term relationships and know each other’s heart at a deep spiritual level
  • Maximum number of 12
  • Have a passion for living their lives to glorify God and help lead other to an intimate relationship with Jesus Christ.
  • Believe that their time, talent, treasure, relationships, influence and opportunities all belong to God and they are called to invest them to build God’s Kingdom.
  • Will provide leadership support to the local ministries that financial support is provided to
  • Founding Board members are Paul Nadeau (local managing partner of Deloitte Consulting and Chairman of Daily Bread Ministries), Brian Schroller team leader of Southwest Exteriors and active supporter of Young Life San Antonio, and Scott Barr, steward of Southwest Exteriors.

501c3

  • Incorporated in 2010
  • Currently donations flow from Southwest Exteriors to local ministries
  • In the future, donations will flow from each of the business units to the 501c3 then to local ministries
  • A giving plan will be created and adopted by the BoE that will provide guidelines for which type of ministries that will be supported financially
  • Officers will be from the BoE

Holding Company

  • Ownership/stock/equity of every FCB will be held by the holding company
  • Holding company will be used to acquire FCB’s
  • Southwest Exteriors will fund the start up
  • No financial benefit will go to Southwest Exteriors or any member of the BoE
  • The BoE will make all decisions

Shared Services

  • Provide the following services for the Business Units:  Legal, CFO, marketing, sales training, human resources, public relations, IT, strategic planning, plan execution, leadership development, corporate chaplain, software implementation, social media
  • Business units will pay a % of revenue to cover the costs of Shared Services
  • Some of the shared services will be provided by professionals who are in a position to donate their time and experience to OFB
  • Some of the shared services providers will be paid on a monthly fee basis.
  • Is not a profit center but will need to break even
  • Will eventually require a director of shared services that reports to the BoE

SWE/Southwest Exteriors

  • Being developed into a model contracting business that can be duplicated
  • A team operated business that glorifies God in the way business is operated
  • Led by a team leader who leads the Team Leadership Council who lead the 4 parts of the business
  • Operates using contracting industry best practices
  • Develops Godly leaders by helping them discover their calling and then guiding them while they live into their calling
  • Supports local ministries thru OFB with a portion of the profits
  • Focus is on becoming a referral based business
  • Team compensation tied to results (Great Game of Business ggob.com)
  • Ownership of Southwest Exteriors will stay with Scott Barr until his death then will transfer to the holding company
  • The only compensation and benefits Scott Barr will receive will come from Southwest Exteriors and no benefits or compensation will come from OFB
  • Southwest Exteriors will fund the OFB vision

FCB/Future Contracting Businesses

  • Will be acquired by the Holding Company at market value when the model is fine tuned by Southwest Exteriors as well as when leadership and financial resources are available
  • Target companies will meet the following criteria
    • High integrity contracting companies with a strong local brand
    • Owner does not have a clear exit strategy
    • Owner is within 10 years of exiting the business
  • Any type of contracting business will fit the team operated business model of SWE.
  • Owner will stay through the conversion process of going from an owner operated business to a team operated business led by a team leader
  • Will be led by a team leader brought in from outside the business
  • Team compensation will be tied to results using the Great Game of Business model (ggob.com)
  • Supports local ministries through OFB with a portion of the profits
  • Owner will receive buyout funds over time starting when the owner operated to team operated conversion is completed
